Terms of Service
These Terms govern your use of FildraAI websites, mobile apps, APIs, account services, FieldGuide, FieldState, FieldVision, FieldAudio, fieldmap, media search, playground tools, and related services.
FildraAI is evolving. Features, limits, pricing, API credits, supported crops, supported languages, and account tiers may change as we improve and operate the services.
By accessing or using FildraAI, you agree to these Terms of Service, our Privacy Policy, and our Responsible Use Policy. If you do not agree, do not use the services.
1. Eligibility & Accounts
You must be legally able to enter into this agreement and to use our services under the laws that apply to you.
- You must provide accurate account information and keep your contact details up to date.
- You are responsible for maintaining the confidentiality of your login credentials, API keys, devices, and sessions.
- You are responsible for all activity under your account, unless caused by our failure to apply reasonable security measures.
- If you use FildraAI for an organization, you confirm that you are authorized to do so and that the organization is also bound by these Terms.
- You must comply with all applicable laws, regulations, platform rules, and third-party rights when using the services.
How we handle account data, authentication identifiers, and user information is described in our Privacy Policy.
2. Services Covered
FildraAI provides agricultural intelligence and workflow services. These may include:
- FieldGuide: conversational and workflow support for farming questions, farm records, and lifecycle guidance.
- FieldState: persistent farm memory, records, history, and decision context.
- FieldVision: image-based crop diagnosis and related analysis.
- FieldAudio: speech transcription, translation, and audio-related support.
- fieldmap and media tools: map, weather, geospatial, and media search features.
- APIs, API keys, playground tools, dashboards, account services, usage plans, credits, and support tools.
The exact features available to you may depend on your account type, plan, device, region, language, and service availability.
3. Plans, Credits, Payments & Access
Some services may be free, usage-limited, credit-based, subscription-based, organization-based, or made available during testing or pilot phases.
3.1 Account Access and Limits
- Free allowances, paid credits, subscriptions, API keys, and feature limits may vary by service, account, organization, and region.
- You may not resell, transfer, share, or pool access unless your plan or written agreement allows it.
- We may enforce rate limits, quotas, concurrency limits, upload limits, and scope restrictions to protect the services.
3.2 Payments and Billing
- Where paid services are available, prices, taxes, currencies, credits, renewal rules, and included usage will be shown at checkout or in account documentation.
- Payments may be processed by FildraAI, payment providers, app platform payment systems, or authorized partners. Their additional terms may apply.
- You authorize us and our payment processors to charge the applicable fees for the services you select.
- Credits, plans, and subscriptions are not transferable and may expire or be limited as described at purchase or in your account.
3.3 Refunds and Changes
Refunds, cancellations, and billing disputes are handled according to the checkout terms, payment provider rules, app platform rules, and applicable law. We may change pricing, limits, or plan features, but we will try to communicate material changes where reasonably practicable.
4. Service Description & Limitations
FildraAI provides informational and workflow support. It does not replace professional agricultural, veterinary, financial, legal, medical, emergency, or regulatory advice.
4.1 Services Provided "AS IS"
The services are provided "AS IS" and "AS AVAILABLE" to the maximum extent permitted by law. We do not promise that:
- The services will be uninterrupted, timely, secure, accurate, or error-free.
- Outputs will be complete, current, reliable, or appropriate for your specific conditions.
- Any model, translation, diagnosis, summary, forecast, map, recommendation, or generated response will be free from errors or bias.
- The services will meet every requirement of your farm, business, device, network, language, or region.
4.2 AI, Translation, and Data Limitations
- AI models may make mistakes, omit relevant information, or produce outputs that sound confident but are wrong.
- Image diagnosis depends on image quality, crop coverage, disease coverage, and environmental context.
- Audio transcription and translation may be inaccurate, especially with background noise, mixed languages, rare dialects, or unclear speech.
- Weather, map, soil, market, and third-party data may be delayed, incomplete, inaccurate, or unavailable.
- Knowledge bases may not reflect every local regulation, product label, farming practice, or real-time event.
5. Your Responsibilities
You are responsible for how you use the services and any outputs generated by them.
- Review outputs before acting on them. Treat AI responses as support, not final authority.
- Verify important information against local conditions, qualified professionals, product labels, official guidance, and applicable law.
- Do not rely solely on FildraAI for emergencies, high-impact decisions, safety-critical decisions, legal compliance, or financial commitments.
- Use appropriate safety procedures, professional judgment, and record-keeping when applying agricultural inputs or making operational decisions.
- Only upload content you have the right to use and avoid uploading unnecessary sensitive personal information.
- Keep accounts, API keys, and devices secure and notify us if you suspect unauthorized access.
6. Acceptable Use Policy
6.1 Permitted Uses
- Using FildraAI for normal farm, field, educational, translation, diagnostic, record-keeping, and decision-support workflows.
- Using APIs and playground tools within documented scopes, quotas, and plan limits.
- Sharing outputs inside your own farm, team, or organization where your plan permits it.
- Providing feedback, reporting errors, and using outputs as a starting point for human review.
6.2 Prohibited Uses
- Using the services to violate laws, regulations, product labels, third-party rights, or platform rules.
- Uploading unlawful, harmful, abusive, deceptive, infringing, malicious, or privacy-invasive content.
- Using outputs to mislead others about their source, certainty, safety, regulatory status, or professional validity.
- Circumventing quotas, credits, API scopes, access controls, security controls, or payment requirements.
- Scraping, harvesting, bulk exporting, reverse-engineering, probing, attacking, or disrupting the services.
- Using the services to build, train, benchmark, or improve competing products without written permission.
- Reselling, sublicensing, redistributing, or making the services available to unauthorized third parties.
- Using automated systems, bots, crawlers, or scripts without written permission, except through documented APIs within allowed limits.
7. API Keys, Security & Automation
API keys and developer credentials are sensitive access credentials.
- You must protect API keys and must not publish them in client-side code, public repositories, logs, screenshots, or shared documents.
- You may only call APIs that your key, plan, and scopes allow.
- You may not bypass rate limits, usage accounting, credit deduction, authentication, or authorization checks.
- We may rotate, revoke, limit, or suspend API keys if we detect misuse, compromise, abnormal usage, or security risk.
- You are responsible for integrations, scripts, automations, and third-party tools that use your credentials.
8. Intellectual Property & Content
8.1 Our Content and Technology
FildraAI owns or licenses the services, including software, interfaces, designs, trademarks, models, algorithms, workflows, knowledge bases, documentation, and proprietary methods.
Except as these Terms allow, you may not copy, modify, distribute, sell, reverse-engineer, create derivative works from, or exploit our content or technology.
8.2 Your Content
You retain ownership of content you upload or submit, such as text, images, audio, farm records, field data, and feedback.
By using the services, you grant FildraAI a worldwide, non-exclusive, royalty-free license to:
- Host, process, transmit, display, and analyze your content to provide the services.
- Maintain security, debug issues, enforce policies, and improve reliability.
- Use de-identified, aggregated operational metadata (request counts, latency, error rates, feature usage) to monitor and improve service reliability and non-AI features.
- Comply with legal obligations and enforce these Terms.
8.3 No Training On Your Content
We do not use the content you upload to train, fine-tune, or build our AI models, and we do not sell your uploads to advertisers or to third parties. This applies to your photos, voice recordings, prompts, FieldState records, and any other content you submit. Our crop-diagnosis and image-classification models are trained on publicly available agricultural datasets and on data we have separately licensed for that purpose; our speech models are provided by third-party processors that we have configured not to train on customer audio. If we ever introduce an opt-in to contribute your content to model training, it will be an explicit, separate consent, never bundled into these Terms or into general account settings.
8.4 Voice And Image Upload Rights
When you upload a photograph, a voice recording, or any other captured media, you confirm that you have the legal right to do so. Specifically: you confirm that the image does not infringe a third party's copyright (including images you found online, scraped, or downloaded from another product), and that any voice recording is your own voice or the voice of someone who has given you clear, informed consent to record and share it for this purpose. You must not upload images of identifiable people without their permission. You are solely responsible for any claim, takedown notice, or damages arising from uploads that violate this section, and we may suspend or terminate accounts that repeatedly upload infringing or non-consensual media.
You represent that you have the rights needed to submit your content, that your uploads do not infringe any third party's copyright, trademark, privacy, publicity, or moral rights, and that your content does not violate law.
9. AI-Generated Outputs
FildraAI uses AI models to generate chat replies, voice answers, crop diagnoses, and map narratives. AI output may be inaccurate, incomplete, or out of date. FildraAI does not provide professional agricultural, medical, legal, or financial advice. You are responsible for verifying AI-generated suggestions against your own judgement and qualified professional advice before acting on them, especially for irreversible operational decisions (pesticide application, financial commitments, livestock care, etc.). To the maximum extent permitted by law, FildraAI is not liable for losses arising from reliance on AI output.
Subject to these Terms and any applicable payment or plan requirements, you may use outputs for your own internal operations, learning, farm management, and decision support.
- Outputs may be inaccurate, incomplete, outdated, or similar to outputs generated for other users.
- Outputs are not guaranteed predictions, professional advice, safety instructions, or regulatory approvals.
- You may not present outputs as certified professional advice unless they have been reviewed and approved by a qualified professional.
- You may not use outputs to train, evaluate, or build competing AI or data products without written permission.
- You are responsible for final decisions, actions, communications, and records based on outputs.
10. Mobile Apps and App Platforms
If you access FildraAI through a mobile app, additional app platform rules may apply.
- You are responsible for keeping your app, operating system, and device reasonably up to date.
- Device permissions such as camera, photos, microphone, notifications, and location are controlled through your device settings.
- App stores and platform providers may process purchases, subscriptions, downloads, crash reports, analytics, refunds, or account-related information under their own terms.
- If there is a conflict between these Terms and mandatory app platform terms, the mandatory app platform terms apply only to the extent required.
11. Third-Party Services & Dependencies
FildraAI relies on third-party services, providers, infrastructure, and data sources. We are not responsible for:
- Cloud infrastructure, authentication, payment processing, app platform services, maps, weather, translation, AI services, or other provider availability.
- Accuracy, availability, licensing, or changes in third-party data, APIs, models, documentation, or terms.
- Delays, outages, rate limits, errors, or interruptions caused by third-party providers or networks.
- Third-party websites, links, integrations, content, or services that are not controlled by FildraAI.
12. Privacy & Data Protection
Our Privacy Policy explains how we collect, use, store, share, and delete personal data.
- You agree that we may process data as described in the Privacy Policy.
- You are responsible for ensuring that any personal data you submit is lawful and appropriate for the service.
- If you use FildraAI on behalf of an organization, you are responsible for obtaining any permissions required from users, employees, contractors, farmers, or other data subjects.
13. Limitation of Liability
To the maximum extent permitted by applicable law, FildraAI and its affiliates, directors, officers, employees, contractors, agents, and licensors will not be liable for damages arising from your use of, or inability to use, the services.
13.1 Excluded Damages
We are not liable for:
- Indirect, incidental, special, consequential, exemplary, or punitive damages.
- Loss of profits, revenue, data, goodwill, business opportunities, anticipated savings, or reputation.
- Crop damage, livestock losses, yield losses, operational losses, market losses, or other economic losses caused by decisions based on service outputs.
- Mistakes, omissions, misclassifications, translation errors, incomplete advice, or reliance on AI-generated outputs.
- Service interruptions, data loss, unauthorized access, security incidents, or third-party provider failures.
- Your violation of laws, regulations, product labels, third-party rights, or these Terms.
13.2 Liability Cap
Where liability cannot be excluded by law, our total aggregate liability for claims relating to the services is limited to the greater of: (a) the amount you paid to FildraAI for the affected service in the twelve (12) months before the event giving rise to the claim, or (b) $100 USD.
13.3 Risk Acknowledgment
- Agriculture, business operations, translation, fieldwork, and software use involve risks that FildraAI does not control.
- No AI, software, map, weather source, translation system, or diagnostic model can guarantee outcomes.
- You assume responsibility for decisions and actions taken based on service outputs.
14. Indemnification
You agree to indemnify, defend, and hold harmless FildraAI and its affiliates, directors, officers, employees, contractors, agents, and licensors from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:
- Your use or misuse of the services.
- Your violation of these Terms, the Responsible Use Policy, or applicable law.
- Your content, uploads, data, prompts, integrations, API usage, or outputs you share with others.
- Your violation of intellectual property, privacy, confidentiality, consumer protection, or other third-party rights.
- Your decisions, actions, products, services, or communications based on service outputs.
15. Suspension & Termination
15.1 Termination by You
You may stop using the services at any time. You may delete your account from your account settings (Settings → Danger Zone → Delete Account). Deletion is self-service and processed immediately: your profile, login, API keys, chat history, FieldState records, billing records, and audio uploads are removed from our live systems within 24 hours, and we send you a confirmation email. Encrypted automated backups retain deleted data for up to 35 days under AWS’s default policy, after which the data is unrecoverable. We may retain limited records when required by law (for example, tax records, fraud-prevention logs, or records needed to defend a legal claim) for the period those laws require.
15.2 Suspension or Termination by Us
We may suspend, limit, revoke, or terminate access with or without notice if:
- You violate these Terms, the Responsible Use Policy, or other service rules.
- Your usage creates security, legal, operational, payment, or abuse risk.
- You exceed limits, fail to pay fees, misuse credits, or attempt to bypass access controls.
- We need to comply with legal, regulatory, platform, or provider requirements.
- A service, plan, API, feature, or region is discontinued.
15.3 Effect of Termination
- Your right to access the affected services ends immediately.
- Data retention, export, and deletion are handled under the Privacy Policy and applicable law.
- Terms intended to survive termination remain in effect, including intellectual property, payment obligations, disclaimers, liability limits, indemnification, and dispute provisions.
16. Governing Law & Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of Taiwan, without regard to conflict-of-law principles, unless mandatory local law requires otherwise.
16.2 Venue
Where permitted by law, you agree that courts located in Taiwan will have exclusive jurisdiction over disputes relating to these Terms or the services.
16.3 Informal Resolution
Before filing a formal legal action, you agree to try to resolve disputes informally by contacting us. We will attempt to resolve disputes in good faith within 30 days.
16.4 Limitation Period
Any claim arising from these Terms or the services must be filed within one (1) year after the claim arises, unless a longer period is required by applicable law.
16.5 Mandatory Consumer And Data-Protection Rights
Nothing in this Section 16 limits any non-waivable right you have under mandatory consumer-protection or data-protection law. If you are resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you a non-waivable right of redress in your local courts (in particular, the right to lodge a data-protection complaint or to bring a data-protection claim in your home Member State under GDPR Article 79), the governing-law and venue clauses above do not remove that right.
17. Changes to These Terms
We may update these Terms as our services evolve. When changes are material, we will try to notify users by email, website notice, in-app notice, or another reasonable method. Continued use after updated Terms take effect means you accept them. If you do not agree, stop using the services.
18. General Provisions
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Failure to enforce a provision is not a waiver of that provision.
- Assignment: You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, reorganization, asset transfer, or by operation of law.
- Entire Agreement: These Terms, together with the Privacy Policy, Responsible Use Policy, and any service-specific terms, form the agreement between you and FildraAI.
- Force Majeure: We are not responsible for delays or failures caused by events beyond our reasonable control.
- Conflicts: If service-specific written terms conflict with these Terms, the service-specific terms control for that service.
